The greater Washington, D.C. area is home to many businesses engaged in the field of information technology. The dynamic nature of e-commerce and Internet access requires counseling these clients in multiple fields of law. Coupled with the firm's patent and trademark practice, we provide a full spectrum of legal services to both emerging and established technology companies. We have particular expertise in assisting small businesses to identify, protect and properly use their intellectual property to form a basis for company growth.

We commonly work with business owners and entrepreneurs, as well as investors, in areas such as choice of entity, employment agreements, compensation arrangements and strategies for capital market involvement. 

We also provide counseling on the licensing of intellectual property including patents, trademarks and copyrights throughout the world. We regularly work with a network of international attorneys to protect and enforce our client's rights.

Daniel R. Gropper, of counsel to the firm, is a patent attorney registered to practice before the U.S. Patent and Trademark Office. He has served as expert trademark witness in a number of federal courts and in major cases before the U.S. Trademark Trial and Appeal Board.


David J. Charles
David Charles counsels business clients on a broad range of corporate matters. He has advised clients on more than 50 M&A transactions involving both public and private companies operating in a variety of industries, such as information-technology products and services, defense, energy, health care, e-commerce, financial services, consulting services and aviation services.

•  Lead counsel to an information technology and professional service provider to various government agencies, including the Department of Homeland Security, and its owner in connection with a $12 million sale to a New York-based private equity group
•  Lead counsel to a government contractor that develops innovative solutions, from sustainment logistics to test and evaluation, for clients such as the Army and Navy, and its owners in connection with a $50 million sale to a publicly traded defense and industrial corporation
•  Lead counsel to a government contractor that provides logistics support for the Army, Navy, Air Force, Marine Corps, Coast Guard and other defense agencies located at military facilities in the Middle East and throughout the world and its owners in connection with a $230 million sale to a publicly traded defense and industrial corporation
•  Lead counsel to a publisher of directories and provider of Internet tools for on-line advocacy and its owner in connection with a sale to a European-based publisher
•  Co-lead counsel to an enterprise software developer, software applications service provider, and business process outsourcer for the U.S. commercial healthcare industry an its owners in connection with $138 million sale to publicly traded corporation
•  Lead counsel to private government contractor in connection with acquisition of a limited liability company focused on providing technology services to intelligence agencies of the U.S. government
•  Lead counsel to publicly traded corporation in connection with multiple acquisitions of fixed base operations (FBOs) located across the U.S.
•  Co-lead counsel to publicly traded corporation in connection with multiple acquisitions of privately held e-commerce companies

Robert J. Cunningham
Rob Cunningham represents companies and individuals as both plaintiffs and defendants in Virginia and federal courts. His specialty is complex, high-stakes civil litigation. He is also highly experienced in mediation and arbitration proceedings.

Representative Experience

•  Won a substantial arbitration award on behalf of a former business owner who alleged violation of copyright and intellectual property rights in a business sales agreement, to include pre-verdict seizure of purchaser’s assets
•  Lead counsel in defense of state and federal software copyright claims filed in Western District of Pennsylvania Federal District Court – successful pre-trial proceedings resulted in extensive published opinions by District Court on new and novel legal doctrines governing software copyright infringement actions

Daniel R. Gropper
Dan Gropper, who originally trained as an engineer and has extensive hands-on software development experience, concentrates on trademark law, patent law, copyright law and licensing law. He provides local counsel services, including Patent and Trademark Office and Copyright Office liaison, for many intellectual property attorneys throughout the world.

Representative Experience

•  Successful defense to prevent the forced transfer of a domain name in Princeton Linear Associates Inc. v. Copland (61 USPQ2d 1895, NAF 2002)
•  Expert trademark witness for the successful defense in Petro Stopping Centers, LP v. James River Petroleum, Inc., 130 F.3d 88 (1997) and in related cases before the U.S Patent and Trademark Office Trademark Trial and Appeal Board: James River Petroleum Inc. v. Petro Stopping Centers L.P., 50 USPQ2d 1702(TTAB 1999) and James River Petroleum Inc. v. Petro Stopping Centers L.P., 57 USPQ2d 1249 (TTAB 2000)
•  Successfully organized and executed the seizures and prosecution of a federal trademark anti-counterfeiting action in Philadelphia (The Game v. Beckers-Stewarts et al.) which resulted in the seizure of a significant amount of counterfeit merchandise and at least 10 permanent injunctions, and was instrumental in getting the counterfeit goods off the street
•  Served as an expert witness in the federal court patent and unfair competition case entitled What's What Incorporated v. The Butler Group, Inc., 90 CIV 3770(KC)
•  Served as an expert witness in the federal trademark infringement and unfair competition case entitled WordPerfect Corporation v. Financial Services Marketing Corporation
•  Successful trademark expert in many federal trademark suits

James M. Lewis
Jim Lewis’ technology business practice focuses on representation of early-stage and mature technology companies. He assists clients with issues that include corporate governance, entity selection, complex agreements, finance, employment matters, executive compensation and intellectual property.
He serves as the General Counsel to World Information Technologies Services Alliance (WITSA), providing corporate governance advice to Board and Secretary General, developing model license and hosting agreements for Congresses in Austin, Kuala Lumpur, Amsterdam, and Montreal; and negotiating separate memoranda of understanding with Taiwan and China, among others.
